Booking Agreement

This Booking Agreement ("Agreement") is entered into between Varsa Studios LLC, a Utah limited liability company ("Varsa Studios," "Company," "we," "us," or "our"), and the individual or entity ("Guest," "you," or "your") who books and/or uses the studio space ("Space") provided by Varsa Studios.

By completing your booking, checking the required agreement box, and/or using the Space, you acknowledge and agree to be bound by the following legally enforceable terms and conditions:

License of Use

Varsa Studios grants you a limited, revocable, non-exclusive, and non-transferable license to access and use the Space solely during your reserved booking time ("Booking" or "Session").
No leasehold interest or other tenancy rights are conveyed by this Agreement.
Varsa Studios retains full legal possession and control of the Space at all times.

Payment Terms

Full Payment : Payment of all booking fees, taxes, and add-ons is required at the time of booking unless the "pay later" option is selected.

Pay Later Terms: You must provide valid payment information at booking. Varsa Studios may charge your card at any time up to 48 hours before the start of your session.

Failure to Pay: Failure to maintain valid payment information may result in cancellation without notice and liability for cancellation fees.

Cancellations and Rescheduling

No Refunds: All payments are final and non-refundable for any reason, including cancellations due to illness, travel issues, or emergencies.

Unlimited Rescheduling: You may reschedule as many times as needed, provided you do so at least 48 hours before your session start time. Guests can reschedule directly from their confirmation email without any additional fees or restrictions.

Late Rescheduling: Requests to reschedule within 48 hours of the session start are not guaranteed and may be denied based on studio availability.

Permitted Use and Prohibited Activities

You may use the Space only for lawful activities consistent with photography, videography, creative productions, or small events, as disclosed at booking.

  • Prohibited activities include but are not limited to:

    • Illegal acts or substances

    • Open flames or burning materials

    • Disruptive conduct or excessive noise

    • Unauthorized use of unbooked studios

    • Unauthorized removal of studio property

    • Sublicensing or transferring your booking without prior written consent

Violation of these provisions may result in immediate termination of your session without refund, additional fees, and/or legal action.

Access and Security Obligations

At the Blank Space location Studios A, B, and Bathroom: Accessed by door codes.

At the Blank Space location Studio C, and the Alcove location: Accessed by a physical key in a lockbox.

  • Key Responsibility: Lost keys incur a $100 replacement fee

Security Requirements: All doors must be properly closed and locked upon departure. Failure to lock doors results in a $20 fee.

Lighting: All lights must be turned off. Failure to turn off lights incurs a $20 fee.

Unauthorized Access and Overtime Fees

Booking Time:
Your reserved time includes all setup, session time, and cleanup.
You may not enter early or stay late without prior approval.

  • Overage Time Calculation:
    If you enter early and/or exit late, the total overage time will be combined and billed together based on the applicable overtime rates.

  • Example:
    If you enter 5 minutes early and leave 5 minutes late, you will be billed for 10 minutes total overtime.

Early Entry Fees:

  • $2 per minute early entry

  • Fee increases to $10 per minute if early entry overlaps another client’s booking

Overtime Fees:

  • $2 per minute overtime

  • Fee increases $10 per minute if overtime overlaps another client’s booking

Unauthorized Studio Access Fees:

  • $100/hour fee for unauthorized use of unbooked studios

  • Plus $2/minute after the first unauthorized hour

  • Studio C at the Blank Space location unauthorized access also incurs an additional $100 penalty plus damages if applicable

Damage and Cleanliness

Damage Responsibility:
You are responsible for any damage to the Space, fixtures, furniture, or décor caused during your session, beyond ordinary wear and tear.

Initial Damage Check Requirement:
Upon entering the Space, you are required to do a brief visual check for any obvious or existing damage.
If any damage is noticed, you must take a clear photo and report it immediately by emailing info@varsastudios.com at the start of your session.
If no report is made at the beginning of your booking, it will be assumed that the Space was received in good condition, and you may be held responsible for any damages found after your session.

  • Damage Fees Include:

    • $25 for minor wall touch-ups (e.g., scuffs, nail holes)

    • $100 for drywall repairs

    • Full replacement cost for furniture, décor, or property damaged beyond repair

    • $500 for damage to any curated installations

Cleaning Requirements:
You must leave the Space clean and free of debris. Failure to do so will result in the following fees

  • $50 for excessive cleaning needs

  • $20 if overflowing trash is not properly removed to the dumpster

Special Shoots: Glitter, Confetti, Cake Smashes

Permission and Fee:
Use of glitter, confetti, cake, frosting, flower petals, faux snow, or similar materials ("Special Materials") is allowed only with a $35 Special Materials Add-On Fee paid at booking.

Cleanup Requirements:

  • An extra 15 minutes will be added to your booking for cleanup only.
    This time may not be used for additional shooting or activities.

  • You must thoroughly clean all Special Materials before leaving.

  • The Space must be left clean enough that the next client can use it immediately.

Fees for Inadequate Cleanup:

  • If glitter, confetti, cake, or other Special Materials are left behind, you will be charged a $50 Special Cleaning Fee.

Cleaning Supplies Provided:
Each studio is stocked with brooms, mop, wipes, and a hand vacuum.
Please bring additional cleaning supplies if you think you’ll need more.

Trash Removal:

  • All trash, food, and debris must be properly disposed of.

  • Trash overflow must be taken to the dumpster behind Studio B (Blank Space location).

  • Trash must be hauled out independently at the Alcove location

  • A $20 Trash Removal Fee applies if trash is left or not removed properly.

Important Reminder:
While we deep clean weekly, other clients may use the studio before that happens.
Please clean thoroughly to avoid affecting others' bookings.

Pets Policy

Pets Permitted: Only in Studio A at Blank Space American Fork with a $25 per pet fee (up to 2 pets; more require prior approval).

Pet Requirements:

  • Pets must be cleaned up after (including hair removal).

  • Pets are not allowed on furniture unless being held.

  • Pet accidents will incur a $200 fee.

Unauthorized Pets:

  • Bringing an undeclared pet incurs a $25 pet fee plus a $50 cleaning fee.

  • Pets found in non-pet studios (Blank Space B, C, or Alcove Springville) incur a $200 fee.

Theft and Unauthorized Removal

Studio property must not be removed from the premises.

Theft/Unauthorized Removal Fees:

  • Full replacement value of removed or stolen item(s)

  • Up to $150 inconvenience fee for disruption to future clients

  • Failure to return removed items within 24 hours of notice will result in automatic charges to the card on file and potential legal action.

Liability, Indemnification, Governing Law, and Entire Agreement

Assumption of Risk:
You voluntarily assume all risks of injury, damage, or loss arising from your use of the Space, including but not limited to injuries to yourself, your guests, or your property.

Indemnification:
You agree to indemnify, defend, and hold harmless Varsa Studios LLC, and its owners, agents, employees, and contractors, from any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees and court costs) resulting from your use of the Space, any breach of this Agreement, or the conduct of you or your guests.

Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah.
Any disputes arising out of or related to this Agreement shall be brought exclusively in the courts located in Utah County, Utah, and both parties consent to the jurisdiction and venue of those courts.

Entire Agreement:
This Agreement constitutes the complete and exclusive understanding between Varsa Studios LLC and the Guest regarding the use of the Space.
It supersedes all prior verbal or written agreements.
By checking the required box at the time of booking and completing your reservation, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.
